NJR is seeking an Assistant General Counsel to provide legal services to the corporation and oversee outside legal counsel.
Major Responsibilities:
• Work with Company business units to negotiate and provide counseling in conjunction with various agreements including service, consulting, real estate, complex easements that require negotiation, software development/implementation, construction and engineering contracts and financial instruments
• Support Treasury and Finance functions with negotiation and counseling for financing arrangements with lenders and investors and debt compliance matters; provide ongoing advice for existing debt and financial commitments
• Draft and update various company policies and procedures
• Provide legal advice to business units on a variety of matters
• Review and comment on employee and investor relations communications
• Support the General Counsel with compliance matters
• Support the General Counsel and the Corporate Secretary and provide counseling in conjunction with SEC and NYSE filings and guidance
• Support the preparation of and provide counseling in conjunction with 10Ks, 10Qs, 8Ks, proxy statements, registration statements, financial statements, and earnings releases
• Support the General Counsel and the Corporate Secretary with governance matters, including entity management and licensing matters
• Support and implement insider trading policy and procedures
• Support and provide counseling in conjunction with non-litigation contractual/commercial disputes, as requested
• Assist the General Counsel and Human Resources with executive compensation issues
• Support NJR Clean Energy Ventures, NJR Midstream and NJR Energy Services businesses, as requested
• Handle regulatory matters/filings, as requested
• Complete other projects as assigned by the General Counsel
Position Specifications:
• Juris Doctor Degree with a license to practice law in New Jersey is required
• At least five years’ experience practicing law required
• Experience required in negotiating, preparing and reviewing complex agreements and financial instruments and with SEC or NYSE regulatory issues
• Excellent verbal and written communication skills and proficiency in Microsoft Word required
